ASTRANAUTS Terms and Conditions

These terms and conditions are for registration and participation in the ASTRANAUTS program and is an agreement between PT Astra International Tbk (“Astra”) and ASTRANAUTS participants (“Participants”). Please read these Terms and Conditions carefully, by registering as a participant of the ASTRANAUTS program, the Participants automatically declares that he/she is subject to the following terms and conditions: 

 

 A. GENERAL 

  1. ASTRANAUTS is a program organized by PT Astra International Tbk (“Astra”) which aims to obtain new business ideas for Astra and other Astra group companies (“Astra Group”). 
  2. In its implementation, ASTRANAUTS involves a number of partners (“Partners”). 
  3. Participants will be asked to submit ideas that might become new business activities for Astra and the Astra Group. 
  4. All communications and/or instructions from the organizer to Participants will only be made through and to the website https://astra.agorize.com/en/challenges/astranauts2022, email astranauts@ai.astra.co.id, Instagram accounts @astradigitalacademy / @astradigital.id / @satu_indonesia, and participant e-mail recorded during registration. 
  5. By participating in ASTRANAUTS, Participants must comply with all provisions and policies set by Astra from time to time. 
  6. Astra may make changes to the material and/or timing of activities held at ASTRANAUTS in accordance with Astra's policies. 
 

B. REGISTRATION AND PARTICIPATION 

  1. Registration is done online through the website https://astra.agorize.com/en/challenges/astranauts2022 according to a predetermined schedule. Participants are required to create an account on the platform before registering for the ASTRANAUTS program. 
  2. Otherwise stated on the registration website or expressly stated by Astra, Participants must be at least 18 years old on the first day of the ASTRANAUTS program. 
  3. Participants are divided into 2 (two) categories, namely 1) Student Track, and 2) Startup Track. Participants must meet the following requirements: 
    • Start-up Track: Startups (startup companies) whose operations have been running and have never received resources (funding) from venture capitals or external companies. 
    • Student Track: Active undergraduate or postgraduate students (not yet graduated, proven by student card).
  4. Astra Group employees are prohibited from participating. 
  5. Each registrant must form a group consisting of a minimum of 2 (two) people and a maximum of 5 (five) people for startups and a minimum of 1 (one) people for students (the “Group”). 
  6. Participants are only allowed to be a member of 1 (one) Group. 
  7. Groups that have already registered in ASTRANAUTS are allowed to withdraw once the program is running, but will be prohibited to register in future series of ASTRANAUTS.
  8. Each member of the Group who has been registered in ASTRANAUTS is required to participate in the Mentorship. The committee has the right to disqualify a group if it is found that a Group member does not participate in the series of activities. 
 

C. ASTRANAUTS STAGES 

ASTRANAUTS will last for 15 (fifteen) weeks, starting from May 16, 2022 to August 26, 2022, with the following stages:

  1. At the Registration Stage, each Group will be asked to submit files that will be the basis for determining the Groups entitled to enter the Preliminary Round. The files collected are in the form of: 
    • PDF file containing presentation slides about ideas from each team (mandatory); 
    • YouTube video link containing a verbal presentation of an idea with a maximum duration of 5 (five) minutes (optional); and 
    • Statement of originality of ideas and/or MVPs (mandatory).
  2. In the Preliminary Round, 10 (ten) Groups from the Startup Track and 10 (ten) Groups from the Student Track will be selected to enter the next stage (a total of 20 (twenty) Groups). 
  3. The group that is declared to have passed the Preliminary Round will receive a 2 (two) weeks mentorship session provided by ASTRANAUTS Partners, according to the schedule determined by the organizer. 
  4. At the Mentorship Stage, each Group gets the opportunity to develop the ideas that have been collected at the Registration Stage into prototypes and/or products. Participants are not allowed to make material changes to the ideas that have been submitted at the Registration Stage, and can only develop the ideas. 
  5. Groups that pass in the Preliminary Round are entitled to enter the ASTRANAUTS Week stage, to take part in a series of webinars and workshops. 
  6. At the end of ASTRANAUTS Week, a Demo Day will be held, where 20 (twenty) selected Groups will present their ideas/MVPs along with the business strategies that have been developed during the Mentorship Stage to the jury. The jury will determine each of the 3 (three) groups from the Startup Track and Student Track as the winner of ASTRANAUTS. 
  7. Each stage applies a knockout system, where Groups that do not pass one stage, cannot proceed to the next stage. 
  8. Every decision of the jury is final and cannot be contested. 
 

D. IDEA AND PROTOTYPE 

  1. The ideas submitted by each Group must meet the following requirements:
    • Original (own property). If at a later date it is found that the idea submitted belongs to someone else, then the Group submitting the idea will be disqualified; 
    • Startup Track: Minimum in the form of MVP, has been running its operation, and has never received funding from venture capitals or other companies; 
    • Student Track: Never been entered and/or won in any other competition, ideas have not been implemented and/or have not been commercialized. 
  2. The ideas submitted by each Group must meet one of the following four categories: 
    • New Revenue Stream Creation; 
    • Cost Efficiencies;
    • Securing the Future;
    • Strengthening Astra Ecosystem.

    And meet one of the following five specific themes: 

    • Future of Mobility;
    • Future of Finance;
    • Industry 4.0;
    • Sustainability;
    • Emerging Technology.
  3. Ideas and MVPs submitted by the Group on Demo Day will be assessed according to criteria determined by the committee. 
 

E. PRIZES 

ASTRANAUTS winners will receive: 
  1. Startup Track

    Winners of the Startup Track will potentially have the opportunity to collaborate with or pitch to Astra. Winners of the Startup Track are also entitled to receive cash prizes of up to Rp. 150,000,000 (one hundred and fifty million Rupiah), with the following details: 

    • 1st Place: Rp. 75,000,000 (seventy five million rupiah) 
    • 2nd Place: Rp. 50,000,000 (fifty million rupiah) 
    • 3rd Place: Rp. 25,000,000 (twenty five million rupiah) 
  2. Student Track

    Winners of the Student Track will potentially get the opportunity to take part in an internship program or be recruited as Astra employees, and receive free training from the Astra Digital Academy. Winners of Student Track will also receive cash prizes of up to Rp. 60,000,000 (sixty million Rupiah), with details: 

    • 1st Place: Rp. 30,000,000 (thirty million rupiah) 
    • 2nd Place: Rp. 20,000,000 (twenty million rupiah) 
    • 3rd Place: Rp. 10,000,000 (ten million rupiah)
 
F. PARTICIPANT INFORMATION, RECORDING, AND MATERIALS 
  1. Participant information that Astra collects will be handled and used in accordance with the privacy policy implemented by Astra. 
  2. The Participant allows Astra to share the Participant's contact information with the ASTRANAUTS Partner if (a) the Participant chooses to attend a session or other activity at the ASTRANAUTS activity and/or series involving the ASTRANAUTS Partner, or (b) the Participant participates during registration and/or receives communications from ASTRANAUTS Partners. 
  3. By participating in the ASTRANAUTS series of activities, the Participant agrees that Astra can obtain information from the Participant's voice recordings and facial images, as well as store and use all the information generated in each case in accordance with the privacy policy enforced by Astra. 
  4. Astra, ASTRANAUTS Partners, and/or their affiliates have the right to record, film, photograph, and capture Participants' voices and images through any media during the ASTRANAUTS series of activities. Participant grants Astra and its affiliates, agents, and employees the right and grants a non-exclusive, perpetual, worldwide, and royalty-free irrevocable right and license to use, reproduce, modify, distribute and translate any or any part of the Participant's recordings and materials for any purpose related to the business of Astra and ASTRANAUTS Partners. Astra, ASTRANAUTS Partners, and/or their affiliates may edit Participant's recordings and materials to use them alone or together with other information and allow any party to use and distribute them. To the extent permitted by law, Participant waives any moral rights that Participant may have in the recordings and materials. Participant represents and warrants that: (a) Participant's materials are true and accurate to the best of the Participant's knowledge; (b) The Participant has the necessary rights and permissions to grant a license in accordance with the provisions of this Article, and does not infringe or abuse the copyright, trademark, or IPR (as defined in Letter H) of any person or entity.

G. PARTICIPANT LOGISTICS
Participants are fully responsible for making their own travel and accommodation arrangements. Astra will not be responsible for travel or accommodation expenses or if the participant is unable to attend ASTRANAUTS activities due to force majeure.
 
H. INTELLECTUAL PROPERTY RIGHTS 
Participants agree that all materials provided by the ASTRANAUTS committee in connection with the activities, including, without limitation, notes, notes, studies, reports, brochures, pictures or other documents and tangible goods including images, text, comments, graphics, illustrations, logos, icons, the brands and names of Astra and ASTRANAUTS Partners, are (a) the exclusive property of Astra or ASTRANAUTS Partners, and/or their licensors and (b) may be protected by Intellectual Property Rights. Unless explicitly permitted by Astra in writing, such materials may not be sold, licensed, rented, modified, used, distributed, copied, reproduced, transmitted, publicly displayed, publicly performed, published, adapted, edited or translated, publicly in whole or in part by the entrant to any third party other than the other registered entrants. This provision does not grant participants any license or right to use the materials available to participants unless such use is limited to the purpose of the participant's attendance at ASTRANAUTS activity (for PCR Swab Test).
 
I. ACTIONS DURING THE IMPLEMENTATION OF ASTRANAUTS ACTIVITIES
  1. Mandatory to follow health examination procedures (including body temperature checks, etc.).
  2. At all times while in the activity area and during the activity, it is mandatory to use a 3 ply mask correctly and apply physical distancing policies according to the direction of the committee and the management of the building where the activity is held. 
  3. Participants must immediately leave the building where the event is held after the activities on that day have been completed. 
  4. Participants who are not healthy (especially having/feeling symptoms of being infected with COVID-19 (such as cough, fever and/or flu, etc.) are not allowed to physically attend the activity. 
  5. Astra has the right to prohibit participants from attending or being in the activity room and/or building where ASTRANAUTS activities are held in the event that the participant does not comply with the safety and health protocols as described in these Terms and Conditions. 
  6. Participants understand that participants and the property/goods they bring may be reasonably inspected upon entry to the activity and participants may be asked to provide photo identification. If a Participant refuses to participate in this security measure, the organizer may deny the Participant entry. The committee also has the right to ask Participants to leave the activity location if the Participants' behavior has the potential to endanger the safety or security of other Participants. If the committee refuses entry to Participants or asks Participants to leave the activity due to a violation of safety and security provisions, Participants will not receive any compensation. 
  7. Participants may not display any content, adopt any behavior, or incite anyone to take any action that: 
a. Threatens, slanders, or contains immorality;  
b. Would constitute a criminal offense, give rise to civil liability, or violate the law in any way;  
c. Violate the intellectual property, privacy, or other rights of any third party, or constitutes or contains a false or misleading statement;
d. Hack or use Astra's infrastructure for unethical, illegal, or harmful activities. Astra may at any time, with or without giving notice, at our absolute discretion, cancel the registration or attendance of a participant in the event of a violation of this provision without incurring any liability to the participant and/or any third party. 
 
J. APPLICABLE LAW 
These Terms and Conditions are regulated and interpreted according to the laws and regulations enforced in the Republic of Indonesia.
